Welcome, and thank you for your interest in TradeTogether Pvt Ltd. By accessing our website at tradetogether.com, along with any linked pages owned and operated by us, any related websites, applications, mobile applications, and any other services provided by us (collectively, the “Service”) you agree to be bound by these Terms of Service. These Terms of Service are a legally binding contract between you and TradeTogether regarding your use of the Service.

By clicking ‘’I accept’’, or by downloading, installing, or otherwise accessing or using our service, you agree that you have read and understood, and, as a condition to your use of the service, you agree to be bound by, the following terms and conditions, including TradeTogether’s Privacy Policy and subscription agreement (Together, These Terms). If you are not eligible for, or do not agree to the terms, then you do not have our permission to use the service, and TradeTogether’s provision of the service to you, constitutes an agreement by TradeTogether and by you to be bound by these terms.

1. TradeTogether Service proposal

TradeTogether Pte Ltd, a fintech digital asset management company, officially operates in Singapore under a regulatory exemption (since October 25, 2021) to manage funds investing in cryptocurrencies for accredited and institutional investors.

2. Eligibility

The Site and services are not intended for or directed to persons under the age of 18, and we will not knowingly collect information from persons under 18. To provide information to us through registration or in any other manner on the Site, you must be 18 years of age or older.

3. Account and registration

To use and/or access most features of the Service, you must accept the subscription agreement and agree to these terms and conditions. You will be asked to provide us with some information about yourself, such as your name, email address, or other contact information (“User ID”). You agree that the information you provide to us upon registration and at all other times, is true, accurate, current and complete, and that you will promptly keep it accurate and up to date with any changes. Failure to do so shall constitute a breach of these Terms of Service, which may result in the immediate termination of your user account. You may not enter, select or use a false name or an email address owned or controlled by another person with the intent to impersonate that person. You will also be required to verify your identity through a third-party identity verification platform. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account. Any User ID and password provided to you for your access to the Service shall be for your personal use only. If you believe that your account is no longer secure, you agree to immediately notify us of any unauthorized use of your User ID and password at advisor@tradetogether.com. When you register an account, you will be required to enter into the Subscription agreement.

4. Fees and expenses

For TradeTogether services provided through the Mobile App & Web App, you agree to pay the fees as stated to the subscription agreement.

5. License

Limited License Subject to your complete and ongoing compliance with these Terms, TradeTogether grants you, solely for your personal, non-commercial use, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) install and use one object code copy of any mobile application associated with the Service obtained from a legitimate marketplace (whether installed by you or pre-installed on your mobile device by the device manufacturer) on a mobile device that you own or control; and (b) access and use the Service.

License Restrictions Except and solely to the extent such a restriction is impermissible under applicable law, you may not: (a) reproduce, distribute, publicly display, or publicly perform the Service; (b) make modifications to the Service; or (c) interfere with or circumvent any feature of the Service, including any security or access control mechanism. If you are prohibited under applicable law from using the Service, you may not use it.

6. Feedback

If you choose to provide input and suggestions regarding problems with or proposed modifications or improvements to the Service (“Feedback”), then you hereby grant TradeTogether an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to make use of the Feedback in any manner and for any purpose, including to improve the Service and create other products and services. Your feedback is welcome and encouraged. You may submit feedback at any time by emailing us at advisor@tradetogether.com

7. Ownership Proprietary Rights

The Service is owned and operated by TradeTogether. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Service (“Materials”) provided by TradeTogether are protected by intellectual property and other laws. All Materials included in the Service are the property of Tradetogether or its third-party licensors. Except as expressly authorized by TradeTogether, you may not make use of the Materials. TradeTogether reserves all rights to the Materials not granted expressly in these Terms.

8. Third-Party Terms

8.1Third-Party Services and Linked Websites.
Tradetogether may provide tools through the Service that enable you to export information to third-party services. By using one of these tools, you agree that TradeTogether may transfer that information to the applicable third-party service. Third-party services are not under Tradetogether’s control, and, to the fullest extent permitted by law, TradeTogether is not responsible for any third-party service’s use of your exported information. Certain content may be furnished by third parties. Such content (“Third-Party Content”) is not advice created or provided by Tradetogether and does not constitute a recommendation to buy, sell, or hold any Capital product or Non-Capital Products. Tradetogether does not monitor, supervise or endorse any Third-Party Content and no affiliate of TradeTogether is responsible or will be liable for any Third-Party Content. Reliance on any Third-Party Content is at your own risk. The Service may also contain links to third-party websites. Linked websites are not under TradeTogether’s control, and TradeTogether is not responsible for their content, nor the products and services offered by or on third-party websites.
8.2Third-Party Software
The Service may include or incorporate third-party software components that are generally available free of charge under licenses granting recipients broad rights to copy, modify, and distribute those components (“Third-Party Components”). Although the Service is provided to you subject to these Terms, nothing in these Terms prevents, restricts, or is intended to prevent or restrict you from obtaining Third-Party Components under the applicable third-party licenses or to limit your use of Third-Party Components under those third-party licenses.

9. Prohibited Conduct

By using the service, you agree not to:

Use the Service for any illegal purpose or in violation of Singapore law, or international law;
Violate any rules, regulations or laws of the Singapore Monetary Authority
Violate any terms and conditions of any Additional Terms (defined below) including the Subscription Agreement;
Harass, threaten, demean, embarrass, bully, or otherwise harm any other user of the Service
Violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right
Interfere with security-related features of the Service or any user’s enjoyment of the Service, including by: (i) using any device, software or routine to interfere or attempt to interfere with the proper working of the Service, or any activity conducted on the Service, (ii) disabling or circumventing features that prevent or limit use or copying of any content, (iii) attempting to decipher, decompile, disassemble or reverse engineer any of the software or source code comprising or making up the Service except to the extent that the activity is expressly permitted by applicable law, (iv) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code, (v) disrupting any network, equipment, or server connected to or used to provide the Service, (vi) disabling, overburdening, impairing, damaging or hijacking the operation of any hardware, software or telecommunications equipment or any other aspect of the Service or communications equipment and computers connected to the Service, (vii) accessing, tampering with or using non-public areas of the Service, TradeTogether’s (and its hosting company’s) computer systems and infrastructure or the technical delivery systems of TradeTogether’s providers, (gaining unauthorized access to the Service, to other Clients’ accounts, names or personally identifiable information, or to other computers or websites connected or linked to the Service, (xi) bypassing any approved software through which the Service is made available, (xii) framing or linking to any of the materials or information available on the Service, or (xiii) interfering with or disrupting the Service, networks or servers connected to the Service or violate the regulations, policies or procedures of those networks or servers
Provide any false information or perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation, accessing any other Service account without permission, or falsifying your age or date of birth
Sell or otherwise transfer the access granted under these Terms or any Materials or any right or ability to view, access, or use any Materials
Attempt to do any of the acts described in this Section 9 or assist or permit any person in engaging in any of the acts described in this Section 9

10. Disputes and Arbitration

10.1 10.1. Any disputes, controversies or differences (each instance being a “Dispute”) arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, will be settled amicably by the parties wherever practicable. Any Dispute which cannot be resolved will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The governing law of the arbitration will be Singapore law. The seat of the arbitration will be Singapore. The venue of the arbitration will be Singapore, or any other location (including by teleconference or videoconference) otherwise agreed between the Tribunal and the Parties. The Tribunal will consist of 1 arbitrator, to be appointed by the President of the Court of Arbitration of the SIAC. The language of the arbitration will be English.
10.2 10.2. Arbitration Notice. With the exception of disputes arising from the platform (which are resolved with the subscription agreement) and for certain kinds of disputes described in section 10, you agree that disputes arising from under these terms will be resolved by binding, individual arbitration, and by accepting these terms, you and TradeTogether are each waiving the right to a trial by jury or to participate in any class action or representative proceeding. You agree to give up your right to go to court to assert or defend your rights under this contract (Except for matters that may be taken to small claims court). Your rights will be determined by a neutral arbitrator as at 10.1.

11. Additional terms

For the avoidance of doubt, if you are using the Platform (defined below), you are subject to the additional terms as set forth in the Investment Subscription agreement (the “Subscription agreement”), which is incorporated by this reference into, and made a part of, these Terms. To the extent that the Subscription agreement conflicts with these Terms, the terms contained in the Subscription agreement will control.

12. Modification of Terms

We reserve the right to change these Terms on a going-forward basis at any time upon 7 days’ notice. Please check these Terms periodically for changes. If a change to these Terms materially modifies your rights or obligations, we may require that you accept the modified Terms in order to continue to use the Service. Material modifications are effective upon the earliest of your receipt of notice or acceptance of the modified Terms. Immaterial modifications are effective upon publication. Except as expressly permitted in this Section 8, these Terms may be amended only by a written agreement signed by authorized representatives of the parties to these Terms. Disputes arising under these Terms will be resolved in accordance with the version of these Terms that was in effect at the time the dispute arose.

13. Term, Termination, and Modification of the Service

13.1 Term These Terms are effective beginning when you accept the Terms or first download, install, access, or use the Service, and ending when terminated as described in Section 13.2. These Terms of Service, as amended from time to time, will remain in full force and effect while you use the Service or use any content that you have obtained from TradeTogether.
13.2 Termination if you violate any provision of these Terms, your authorization to access the Service and these Terms automatically terminate. These Terms will also automatically terminate upon termination of the subscription agreement. In addition, TradeTogether may, at its sole discretion, terminate these Terms or your account on the Service, or suspend or terminate your access to the Service, at any time for any reason or no reason. Tradetogether will provide notice of the termination unless a court order or other legal process prohibits TradeTogether from providing such notice. You may terminate your account and these Terms at any time by through the Platform’s dashboard or by contacting customer service at advisor@tradetogether.com. Any provisions in these Terms of Service that by their nature or as specified hereunder are intended to continue beyond termination or expiration of these Terms of Service shall survive any termination or expiration of these Terms of Service.

14. Indemnity

You agree to indemnify and hold the entity and its related parties, including but not limited to directors, officers, employees, suppliers, vendors, licensors, agents and any third party providers harmless from any claims, demands, losses, damages or expenses [including legal fees] arising from, relating to and/or in connection with [a] your use of the Services, [b] breach of Services Terms, and/or [c] intellectual property infringement pertaining to any information or content which you transmit on or via the Services.
